Terms of Use / End-User License Agreement (EULA)

This End-User License Agreement (“Agreement”) is between you (“User”) and Sprout KPI Inc. (“Company,” “we,” “us,” or “our”) and governs your access to and use of the Sprout KPI software and related services (the “Service”). By accessing or using the Service, you agree to these terms. If you do not agree, you may not use the Service.
1. License
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your internal business purposes.
2. User Accounts
You are responsible for all activity occurring under your account. You must keep your login credentials secure and notify us immediately of any unauthorized access.
3. Acceptable Use
You agree not to:
Use the Service for any unlawful or fraudulent purpose
Interfere with or disrupt the Service
Attempt to gain unauthorized access to any systems or data
Reverse-engineer, decompile, or attempt to derive the source code of the Service
Use the Service to violate any applicable laws or regulations
We may suspend or terminate access for violations of this Agreement.
4. Third-Party Services
The Service may interface with third-party platforms, including Intuit / QuickBooks. Your use of third-party services is governed by their own terms and policies. Sprout KPI Inc. is not responsible for the actions, errors, or data practices of any third-party service.
5. Fees and Payment
If you subscribe to a paid plan, you agree to pay all applicable fees. Payments are non-refundable unless required by law or stated otherwise in writing.
6. Intellectual Property
All rights, title, and interest in the Service—including content, code, design, dashboards, and data structures—are owned by Sprout KPI Inc. You receive no ownership rights by using the Service.
7. Disclaimer of Warranties
The Service is provided “as is” and “as available.” We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be error-free, secure, or uninterrupted.
8. Limitation of Liability
To the maximum extent permitted by law, Sprout KPI Inc. is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data. Our total liability will not exceed the amount paid by you for the Service in the 90 days preceding the event giving rise to the claim.
9. Indemnification
You agree to indemnify and hold harmless Sprout KPI Inc., its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of this Agreement.
10. Termination
We may suspend or terminate your access to the Service at any time for any reason. Upon termination, all rights granted to you under this Agreement cease.
11. Changes to This Agreement
We may update this Agreement from time to time. The updated version will be posted on our website with a revised “Last updated” date. Continued use indicates acceptance.
12. Governing Law
This Agreement is governed by the laws of the State of Utah, without regard to conflict-of-law principles.
